社会企业架构下企业合规制度适用研究

摘    要:合规制度是企业为依法依规经营,防控企业风险,获取法律激励所建立的治理机制,是特殊的公司治理方式和政府管理工具。社会企业除承担社会使命外,与普通企业面临相同的公司治理问题,包括企业合规问题。然而,社会企业具有不同于普通企业的特性,在适用传统的企业合规制度时会面临诸多问题。一方面,社会企业内部存在着组织目标、治理结构、运营资金匮乏与适用传统企业合规制度的矛盾;另一方面,社会企业外部面临着政府规范合规“滞后性”以及“无差异”的问题。对此,应结合合规制度的本质属性和社会企业的基本特性,从以下两层面进行解决:公司治理层面要培育多元化的董事会,培养基于价值观的合规文化,吸纳利益相关者参与合规构建过程,选用崇尚使命的员工队伍;政府管理层面要广泛开展社会合作,识别企业合规需求。

Abstract:Compliance system is a governance mechanism established by enterprises to operate in accordance with laws and regulations, prevent and control enterprise risks and obtain legal incentives. It is regarded as a special corporate governance method and government management tool. In addition to undertaking social missions, social enterprises face the same corporate governance problems as ordinary enterprises, including enterprise compliance. However, social enterprises have different characteristics from ordinary enterprises, and they will face many problems when applying the traditional enterprise compliance system. On the one hand, there are contradictions between organizational objectives, governance structure, the lack of operating funds and the application of traditional enterprise compliance system within social enterprises, and on the other hand, outside social enterprises are faced with the problems of “lagging” and “no discrepancy” in compliance with government regulations. In this regard, we should solve it from the following two aspects in combination with the essential attributes of the compliance system and the basic characteristics of social enterprises: at the level of corporate governance, we should cultivate a diversified board of directors, cultivate a compliance culture based on values, attract stakeholders to participate in the compliance construction process, and select a staff team that advocates mission; at the level of government management, we should widely carry out social cooperation and identify the compliance needs of enterprises.
