Since the current financial system of our country does not include the financing mechanism for small and medium-sized enterprises, the overseas venture capital accesses to Chinese market one after another. On one hand, the access of foreign venture capital provides the equity capital for our country＇s venture enterprises ; on the other hand, the characteristic of this equity capital may possibly cause our venture enterprises to lose the control rights. The determination of venture enterprises＇ financing structure and control rights, therefore, becomes the key factor of success in the financing of our venture enterprises.
