电子商务平台性质与法律责任

第三方电子商务平台是随着电子商务兴起而出现的一类特殊商业现象，其经营者不直接销售商品，而是提供撮合消费者与商品服务销售者的信息技术平台，并可以提供相关服务。通过分析电商平台与传统销售商异同，借鉴现有法律中关于展销会、集贸市场等最接近电商平台的市场主体的相关法律规范，认为需要从立法上研究电商平台的性质与权利义务，确立第三方电商平台区别于销售商也不同于展销会组织者、集贸市场经营者的独立法律地位，以便合理界定其责任界限。提出了电商平台应当承担合理谨慎的注意义务的建议，如果能够得到立法采纳，司法和行政执法均可以根据平台运行实际和科技发展状况，通过审判或者行政执法当中对合理谨慎义务的解释尺度进行调控，在打击假货泛滥与寻求电商平台企业管理能力、负担之间寻求适当平衡。

Characteristics and Legal Duties of E-commerce Platform

Third party online e-commerce platform emerges as a special business phenomenon with growing up of e-commerce, the operators of such e-commerce platform do not sell goods directly, but provide an IT platform to match buy and sell, and may also provide related services, the paper hereby analyzes the analogies and differences between e-commerce platforms and sellers, and that between the most similar role in traditional business such as trade fair or a market, and draws the conclusion that independent legal status shall be established in e-commerce law to define the rights and obligations of e-commerce platforms. This paper suggests that the duty of care should be established in e-commerce law to regulate e-commerce platform operators, if the suggestion is accepted by the legislature, court or law enforcement administration may justify the duty of the e-commerce platform according to the operation and development of technology by interpretation of such duty of care , and thus seek a balance between the burden & ability of the platform operators managing the platform and combating the flood of fake goods.
