| 摘 要： | 2005年《公司法》确立了一人公司及其组织机构制度，并具体从法律适用、不设股东会两个方面规范一人公司组织机构。这与相关公司组织机构制度之间既有一致性，又有特殊性。根据《公司法》基本精神，一人公司组织机构制度在立法上还有改进的必要和余地。

| Abstract: | Company Law of the People＇ s Republic of China （2005） has established the one-person limited liability companies and its organizational structure system. The organizational structure of one-person company organizational structure is specifically standardized from two aspects of the application of the law and no shareholders. There are both consistency and specificity in organizational structure between one-person company and related companies. Based on the existing Company Law, it is oecessary and there is room for improvement on the organizational structure of one-person company. |
