盐业契约承首人制度研究

自贡因盛产井盐而享有“盐都”美誉,自贡盐业在中国盐业史上占有极其重要的地位。在自贡盐场得到高速发展的盐业契约中,承首人在其中居于显著位置,起着重要的作用,是确保盐业契约经营机制正常运行的关键性人物。本文通过对承首人制度的演变进程、权利义务关系、与地主和投资者的关系、与现行《公司法》中发起人制度的比较等方面进行研究,分析了承首人在清朝至民国时期在自贡井盐业中的特点,并为现代《公司法》中发起人制度的完善提供一些有益参考。

Research on Chief Contractor System of the Salt Industry Contract

Zigong is well-known as the Salt City for well salt, and it holds a vital post in the history of Chinese salt industry. Chief Contractors occupy a remarkable place and play an important role in the salt industry contract, which is rapidly developed in the salt fields of Zigong. Chief Contractors are the key figures to insure the normal operation of management mechanisms. This paper analyzes and studies the evolutionary course of contractor system, the relationship between rights and obligations, the relationship between landowners and investors and the comparison with initiator system of present Cooperation Law, which reflects the characteristics of Chief contractors in Zigong well-salt industry from the Qing Dynasty to the period of the Republic of China. And the paper provides some helpful references to perfect the initiator system of present Cooperation Law.
