论合意取得登记公示型动产担保时的登记效力

设定和让与是登记公示型动产担保依照法律行为方式取得的两种主要方式,设定主要依照担保合同,《美国统一商法典》第9编对担保权的设定标准与中国法有类似之处,均要求:债务人有处分权,被担保的债权有效;动产担保设立登记具有公示公信力,无论登记的具体效力是决定动产担保是否生效抑或动产担保是否具有对抗效力;作为另外一种方式的让与,主债权的让与会导致担保物权的让与;应将让与时的登记定性为变更登记而非移转登记,并且,当事人均有办理变更登记的义务。登记型动产担保也可以担保附条件、附期限的债权,登记的实际效力自所附条件成就时产生,但起算时间从办理担保物权登记时起算。

On the Effectiveness of Registration for Acquiring Registration Perfection Personal Property Security Based on Contracts

There are two main methods for acquiring the security right of personal property which depends on registration to publicize, i. e. creation security interest by security contract and assignment. The similarity between Article 9 of Uniform Commercial Code and Chinese Property I.aw is：i） the debtor has the right to dispose collateral;ii） the secured debt is effective. The creation registration has the power of publicizing and public reliance on whether the power of registration is registration effectiveness or registration confrontation. The assignment of the secured debt can lead to the assignment of security interest. The essence of registration when assignment should be change registration other than conveyance registration, meanwhile the parties concerned have the responsibility to register. Registration perfection personal property can also secure the debt of additional condition and the debt of additional period. Although the actual effectiveness of registration arose when the additional condition came true, the period of registration began from the date to register.
