| 摘 要： | 新《公司法》将一人公司制度纳入现行体制,从立法上肯定了一人公司在我国的合法地位。由于一人公司的天然缺陷和制衡机构的缺失,一旦公司利益与个人利益发生冲突时股东必然选择前者,由此给公司债权人带来了潜在损害。《公司法》对一人公司各种规制机制在保证债权人利益的同时,也存在不少制度漏洞和隐患,有必要对一人公司利益失衡矫正机制规则的设立进行深入探讨。
