近代联号企业：关系性契约与个别性契约的融合

近代联号企业已具有一定的规模经济和范围经济,在组织形态上表现为成员企业的联合体特征。本文尝试以契约理论解释近代联号企业的内部关系,认为近代联号企业在对联号统一体的态度、对集中管理的依赖、权利等级命令、心理契约等方面具有关系性契约特征,在契约签订的自利性、市场交易性等方面具有个别性契约特征,即近代联号企业是关系性契约和个别性契约的内在融合形态。

Modern Affiliated Enterprise: the Integration of Relational Contract and Individual Contract

Modern affiliated enterprise has formed a fairly large economic scope, taking on the features of member enterprise association in organization. This article attempts to explain the internal relations among the members of modem associated enterprise in terms of contract theory, holding that the feature of relational contract is evident concerning modem affiliated enterprise＇s attitude toward the affiliated unity, its dependence on centralized management, its authorization, and its psychological lease, while the feature of individual contract is obvious concerning the self- interested contract signing and market transaction. In other words, the modem affiliated enterprise em- bodies the integration of relational contract and individual contract.
