全球化背景下我国商业秘密保护的审视

当今,在世界各国尤其是市场经济比较发达的国家,除了企业高度重视商业秘密的保护之外,国家还有较周密完备的立法和强有力的司法保护的支持。为应对经济全球化的挑战,我国必须正视与发达国家之间在商业秘密保护方面存在的差距,在现阶段商业秘密保护制度的基础上借鉴和吸收包括美国在内的外国成熟的立法及司法实践经验,建立以专门的商业秘密保护法为核心,以民法、合同法、反不正当竞争法、刑法等为补充的商业秘密保护体系;在商业秘密侵权归责问题上,坚持同时适用过错责任和无过错责任原则;针对商业秘密侵权行为救济制度弱化的现状,增设禁令和商业秘密潜在侵占救济制度。

A Survey of Chinese Trade Secret Protection under the Background of Globalization

Nowadays, trade secrets are not only highly valued by businesses themselves but also protected by relatively well-conceived legislation and judicial measures in countries worldwide, especially in those with advanced market-economies. Faced with the challenges presented by economic globalization, China should acknowledge the gap between China and developed countries in the field of trade secret protection, learn and absorb foreign mature legislation and legal practice experience (including those in the United States) within its current trade secret protection system, establish the trade secret protection system which centers on the specialized trade secret protection law and is supplemented by civil law, contract law, anti-unfair competition law, criminal law and other related laws, apply the doctrine of liability for wrongs as well as the doctrine of strict liability concerning the tortious liability of trade secret, and embrace injunctions and remedies for potential misappropriating trade secrets, aiming at the current weakening remedial rules of trade secret torts.
