| 摘 要： | 为了保持公司运作的相对稳定,本文就公司章程变更的动因和规制进行了探讨。公司章程变更的动因是研究章程变更的前提,而从主体和内容两个方面对章程规制加以分析则为我们探讨公司章程相关问题提供了新的思考途径。

| Abstract: | In order to maintain the relative stability of company's operation, the thesis mainly probes into the motive and the restriction of altering corporation's regulation. The motive of the alteration is the premise of studying the alteration of some regulation, and the analysis on the restriction of regulations from main body and content will offer us a new way to the correlative problems of corporation's regulations. |
