中国引入独立董事制度的思考

源于英美法系国家的独立董事制度,是我国公司治理结构中可以借鉴的制度。我国立法应对独立董事的功能,与监事会的关系进行准确地定位;寻求与建立激励约束独立董事的机制,及在其他方面建立完善独立董事制度。只有在有法可依,有法必依的条件下才可能实现引入独立董事制度的初衷。

The system of independent directors of Anglo-American law system countries is what we can adopt to supervise and regulate our companies.The functions of independent directors and their relation with the board of supervisors need to be defined in our legislation.To establish a well-structured system of independent directors, among other things, we have to seek a mechanism that can inspire and regulate independent directors.Without legislation to abide by, we cannot achieve our purpose in introducing the system of independent directors.
