| 摘 要： | 我国公司法对有限责任公司股东股权转让的条件和程序做出了规定,但规定比较简略,不够明确和具体,缺乏司法实践的可操作性.本文参照国外和台湾地区的公司立法例,对明确我国有限公司股权转让的条件、完善股权转让的形式和程序等问题进行了探讨.

| Abstract: | The company law of P.R. China has provisions for the conditions under which and for the procedures through which the equity interest in the limited liability company may be transferred.However,the provisions are so brief,general and ambiguous that it is hard to apply them in judicial practice.Based on the company laws of foreign countries and Taiwan province,and taking them as legislative examples,this piece explored the ways to elaborate the conditions under which the equity interest in the limited liability company may be transferred,and the ways to perfect the forms in which and the procedures through which such interest is transferred. |
