合同的成立与效力若干问题研究

中国民法的立法和理论未能有效区分合同的成立与效力。合同的成立是当事人意思自治的范畴 ,其要件应限于当事人意思表示一致的内容。合同的效力是法律对已经生效合同的评价。在合同生效要件中 ,应注意区分合同生效应进行的登记和合同履行中实现权利转移应进行的登记。另外 ,合同的不成立、不生效、不能再生效和无效也是不同的。

Study on Some Problems of Formation and Effect of Contract

In the civil legislation and theory field in China,there is little difference on the formation and effect of contract.In fact,the formation of contract is the result of the parties'consistence and its requirements are limited to the parties' agreements. The effect of contract is the law's appraisal of the established contract.In the requirements of contracts,we should distinguish the registration to meet the requirements of effect of contract and the registration to meet the requirements of the rights's transfer in carrying contracts.Moreover, it is different among the non formation,non effect,non effect again,in effect.
