| 摘 要： | 中国企业跨国并购已经成为"走出去"的一种重要方式并引起理论界广泛关注。基于中国企业的实践,从战略资产寻求的视角进行中国企业跨国并购的动因和特征分析,认为跨国并购是中国企业快速整体获取战略资产从而增强企业竞争优势的有效途径;同时,中国企业战略资产寻求型跨国并购具有"弱势并购"的基本特征。中国企业实施战略资产寻求型跨国并购必须关注交易对象的选择、交易过程的管理以及交易后的整合三个关键环节。

| Abstract: | Cross-border M&A has become an important method of Going Global for Chinese enterprises,which is of great concern among the theoretical circle.Based on the practices of Chinese enterprises,this paper analyzes the motivations and features in Chinese enterprises' cross-border M&A from the strategic-asset-seeking perspective,and points out that cross-border M&A is an effective way for Chinese enterprises to rapidly obtain strategic asset as a whole so as to enhance the enterprise's competitive advantage.Howeve... |
