| 摘 要： | 美国在上市公司中推行独立董事制度由来已久.我国的证券市场目前尚处于发展完善阶段,在我国的上市公司中引入独立董事制度是发展、完善和规范我国证券市场的要求.文章通过美国独立董事制度推介到我国所面临问题的探讨,思考了我国在完善独立董事制度上存在的问题和要求.
