借鉴国外立法，完善我国监事会制度

我国公司法明确规定,监事会是公司法人的监督机关。本文借鉴国外立法,从完善我国监事会制度之组织制度、职权制度、责任制度方面提出了立法建议。监事会的组织制度包括监事会成员的人数组成、监事会成员的任职资格、监事会成员的产生等方面;监事会职权制度包括董事会成员的任免权、财务监督权、职务监督权、特定情况下临时股东大会召集权、监事会诉讼权等;并相应地提出了完善监事会责任制度的具体措施。

On Perfecting the Supervising-board System in China by Referring to Other Countries' Legislative Practice

The Company Law of People's Republic of China defines the supervising board as the supervisor of a company's legal person.This paper,by referring to the legislative practice of other countries,puts forward legislative suggestions on perfecting China's supervising-board system in terms of its organization,authority and responsibility.The organization system involves the number,qualification and election of its members;the authority system concerns its rights of appointing or dismissing its members,exercising financial and duty supervision,calling interim general meetings of stockholders in special cases,and action.The paper then correspondingly proposes specific measures for perfecting the responsibility system of the supervising board.
