论国有企业的企业法主体概念之选择

国有企业概念未能表述企业法律形态,不能作为企业法主体概念.我国国有企业可表述为六类企业主体概念.即公共企业、公有公司、相对公有公司、公产合作社企业、公产参股公司、公产合作企业.这六种企业又统称公产企业,即由公有资产投资者全部或部分投资形成的、含有公有产权的、具有经营性特征的各种形式的法人或非法人经济组织.公产企业概念比国有企业概念能更准确地表达这类企业的经济性质,更好地反映现代企业制度的特征,更好地体现现代企业的内在规律,比国有企业概念更符合市场经济条件下的企业法主体概念的要求.我国应整合现行国有企业法律法规,完善以公产企业为企业法主体概念的企业立法.

On Selecting of the Concept of the Subject of Enterprise Law of the State-owned Enterprise

The concept of the state-owned enterprise is not the statement of the enterprise law appearance,can't be the concept of the enterprise law subject.The public property right enterprise is completely or partly invested by the public property investor,including the public property right,the management characteristic,legal person or the illegal person economic organization.The concept of the public property right enterprise will be more accurate to express economic property of this kind of enterprise,and be better to reflect the characteristic of the modern enterprise system,and be better to reflect the regularity of the modern enterprise,and match more the request of the concept of the enterprise law subject under the market economy condition than the concept of the state-owned enterprise.Our country should hold firmly integration of the current state-owned enterprise laws and regulations,perfect the enterprise lawmaking of regarding the public property right enterprise as the concept of the subject of enterprise law.
