| 摘 要： | 股权控制是跨国公司控制其合资企业的一种方式 ,具体可以分为直接型股权控制方式、间接型股权控制方式和管理型股权控制方式 ,它们从不同的侧面发挥作用。跨国公司主要采用三种策略获得有利于自己的股权地位 ,进而实施股权控制 :一是在合资企业中增资扩股 ;二是以次级资源交换高级资源 ;三是利用在资本技术密集型项目上有利的谈判地位

| Abstract: | Stock right control is one of mechanisms used by multinational corporations to control their joint ventures in host countries. The control has three different kinds of patterns, i.e., direct stock right control, indirect stock right control, and managerial stock right control. Each of the three patterns exerts its control from a different aspect. Multinational corporations mainly adopts three strategies to acquire the stock right to their advantage and consequently taking over the stock right control. The three strategies are: a) expanding their capital volume and share proportion in joint ventures, b) exchanging lower level resources for higher level resources, and c) utilizing the advantageous positions in negotiations concerning capital technology intensive project. |
