| 摘 要： | 股东除名是指公司强制解除股东资格的法律制度。股东除名制度相比其他解决公司内部矛盾机制要优越,不仅可以化解矛盾,而且可以确保公司的存在,是公司法非常重要的制度。我国最高人民法院出台的司法解释虽对股东除名制度进行了规定,但是规定不尽完善,不利于解决司法实践中不断出现的新问题。

| Abstract: | Expulsion of Shareholder refers to a legal system that disqualifies a shareholder compulsively. As a very important systerm of company law, it is superior to other problem-solving systems, which can resolve controdictions and ensure the existance of a company. The Judicial Interpretation from China＇s Supreme People＇s Court on expulsion of shareholder is not perfect, which is bad for solve new problems in judicial practice. |
