| 摘 要： | 夫妻有限责任公司特点在于公司的股东为夫妻二人,或者公司的主要控股股东就是夫妻双方.对于夫妻有限责任公司的法人人格问题的争论根源于公司法人财产权与股权性质的认定,根据司法实践中流行的对夫妻有限公司法人人格的否认态度,本文拟从这个根源问题出发对此问题进行分析,提出夫妻有限公司法人人格不宜简单被否认的观点.

| Abstract: | Couple-limited Company is characterized by only Couple-shareholders or controlled by couple-shareholders. The main reason of the discussion for the legal person qualification of Couple-limited Company generates from how to recognize the nature of the property right of the legal person and the right of shares. According to the judicial popular negative opinion, this article tries to analysis the issue and draws the conclusion of the positive opinion. |
