| 摘 要： | 资产证券化作为一种新的融资方式具有复杂的交易结构,其中,特殊目的机构具有重要地位,其法律问题也相应地成为资产证券化立法的重要内容。我国有关特殊目的机构的立法应遵循大胆借鉴先进国家立法与我国国情相结合、单行立法以及保护投资者利益三项原则,采取特殊目的信托与特殊目的公司两种法律形式,并加强特殊目的机构的内部控制。
