| 摘 要： | 委托书征集制度是国外公司治理中相当成熟的做法之一，它可以从不同角度完善公司的法人治理结构。在我国则是最近几年才开始被接受和应用的，但由于我国与之相关的法律环境还存在许多不健全的地方，导致该制度在我国的运行遇到了很多障碍。作者在介绍该制度作用的基础上，从正反两个角度论述了该制度的利弊，并结合我国国情对完善委托书征集制度在我国运行的法律环境提出了一些建议。

| Abstract: | Trust-deed collecting system is mature abroad but is new in China. Since there are many imperfect factors in legal environment of China, the system has not operated smoothly. The author discusses the advantages and disadvantages of the system and makes some suggestions on how to improve the legal regulations on the system. |
