| 摘 要： | 我国公司法确认了一人公司的法人地位,并对其进行了专门的规范。但公司法设立制度中禁止设立一人股份有限公司和禁止自然人重复设立一人公司的规定,不仅达不到有效防止一人公司滥用法人人格的目的,反而从一定程度上阻碍了一人公司在我国的发展。

| Abstract: | Chinese Corporation Law has validated the legal person status of one-man companies and set up the regulations for such companies. However,the corporation law system forbids the establishment of one-man incorporated company and natural persons' second establishment of one-man company, which can not prerent one-man companies from misusing the status of legal person,but retard the development of one-man companies in China. |
