| 摘 要： | 证券的民事责任可由违约责任、缔约过失责任、侵权责任和不当得利责任组成。我国的证券民事责任的发展变化大约经过了四个阶段，从新制度经济学的角度看，还应完善证券民事责任制度的正式规则、非正式规则及其执行机制。

| Abstract: | Securities civil responsibilities consist of treaty-breaking responsibility, treaty-making liability fauh, infringement responsi- bility and improper-benefit responsibility. China＇s securities civil responsibility development has undergone four stages. From the new economics＇ point of view, the formal rules, the informal rules and the executive mechanism of the securities civil responsibility should be perfected. |
