| 摘 要： | 团体性是社会组织成为民事主体的核心要件,合伙在其漫长的发展过程中实现了从契约共同体向组织共同体的转变,成为一个具有浓厚团体性特征的组织实体,并在此基础上形成了独立财产、独立责任、独立意志、独立名义等特征,充分符合民事主体的资格要件,因此,合伙应当具有独立的民事主体地位.

| Abstract: | The characteristic of party is the core necessity which makes the social organization become a civil body. Partnership has completed the shift from contract-community to organization-community in the long course of development and has become an organization entity full of thick characteristic of party.Furthermore, it has developed independence of estate,responsibility,will and name which enable it to accord with the qualification necessity of civil body.Therefore partnership should own its independent civil body status. |
