有限责任制度下的债权人利益保护

有限责任制度的确立,对于限制投资风险,刺激投资积极性,促进股份自由流转以及形成规模经济都起到了推动性作用。然而,随着经济的发展,有限责任制度对于债权人利益保护方面的软弱无力也渐显端倪。现代公司法的目的,在于实现相关利益主体之间合理的利益均衡,因而公司债权人保护也已成为现代公司法律的重要理念。本文通过对我国公司债权人保护制度价值取向的分析以及现行立法缺陷的揭示,提出构建符合中国现代经济发展的公司债权人保护制度,从而真正实现各利益主体的均衡发展。

The Protection of Creditor's Interests Under the System of Limited Responsibility

The establishment of the limited responsibility system is good for limiting the investment risk,irritating the investment enthusiasm,promoting shares circulating freely.However,with the development of economy, limited responsibility system's weakness in the protection of the creditor's interests is emerging gradually.The purpose of the modern company law lies in realizing the balance of rational interests between the relevant subjects.Therefore the company creditor's protection has already become an important idea in modern company law.Through the analysis for the value orientation of company creditor's n system in according with China's modern economic development,in order to really realize the balanced development of every interests subject.
