| 摘 要： | 表决权征集制度是上市公司股权分散化、流动化的必然产物。本文立足实务,同时借鉴国外表决权征集制度的立法经验,从介绍我国上市公司表决权征集制度的立法现状着手,对我国表决权征集制度存在的问题进行了分析,并提出了相应的对策和建议。

| Abstract: | The system of gathering voting is an inevitable result of the decentralization and fluidization of public companies` stock rights.Basing on actual practice,using for reference about the legislation experiences of the system of gathering voting abroad and setting about from the actual state of legislation in the system of gathering voting in the public companies,this article analyses specifically the problems in the system of gathering voting in the public companies and makes some counter measurements and suggestions to how to perfect the system. |
