摘 要: | 商业秘密是企业无形资产和核心竞争力的重要组成部分,关系着企业的发展甚至生死存亡。经济发展过程中企业间的竞争日益激烈,人力资源流动也愈加普遍。随着人力资源流动愈加频繁,商业秘密的流失或泄露现象也日益普遍。通过对国外英美法系和大陆法系中商业秘密保护相关立法以及国际公约的比较分析,探讨人力资源流动中我国商业秘密保护存在的困境,并借鉴国外立法和国际公约及其司法实践提出完善我国商业秘密保护的对策建议。

Abstract: | The commercial secret of enterprises is an important part of intangible assets and core com-petitiveness,which is relative to the enterprise development and even the vital importance.The com-petition among enterprises becomes more and more fierce in the process of economic development,and the flow of human resource becomes more and more common.With the continuous flow of human re-sources,the loss or leakage of commercial secrets also emerge in an endless stream.The commercial secret protection legislations of foreign and international treaties were studied comparatively.We ana-lyzed the problem of legislation to commercial secret protection in China,and then put forward some suggestions to improve our commercial secret legislation,referring domestic and foreign legislation and judicial practice. |
