| 摘 要： | 我国法律目前没有明确承认一人公司的合法性,但现实经济生活中却有大量一人公司存在.文章陈述了我国一人公司的立法现状,指出股东承担有限责任,有限公司内部股权结构变化,巨额资本的涌现,小型企业具备一定经济实力等因素使一人公司的广泛存在具有必然性,并提出了建立最低资本金制度,建立书面记载制度,严格会计制度和内部监督机制,引入公司法人人格否定制度等完善一人公司制度的建议.

| Abstract: | The legal position of One-person Company has not been clearly admitted in China at present.But lots of One-person Companies indeed exist.This article lists the present situation of the legislation about One-person Company,and then points out that the shareholders bear limited responsibility,the structure change of the stock right,huge capital are emerging,small business possess certain economic strength make One-person Company have certainty of being.Finally,it puts forword some suggestions. |
