| 摘 要： | 未来经济发展取决于新经济发展速度和带动能力，而新经济的成长依赖于一个成熟发达、充满活力的创业板市场。本文通过对世界创业板市场发展状况的分析，结合我国资本市场的实际情况，设计了我国创业板市场的基本制度，即发行审核制度、信息披露制度，强化公司治理结构市场退出机制，最后分析了创业板市场证券发行存在的主要法律问题，并提出了相应的对策建议。

| Abstract: | The future economic development depends on the development speed and driving force of new economy and the growth of new economy, in turn, depends on a mature and dynamic growth enterprise market. This paper, by analyzing the development of growth enterprise markets around the world, has designed the basic system of Chinese growth enterprise market in the light of special conditions of Chinese capital market, which is comprised of the issue system, information publishing system, enterprise harness structure and market withdrawal system. The main legal problems involved are analyzed and corresponding solutions presented. |
