完善我国上市公司的独立董事制度

我国有关独立董事制度的法律不够完善 ,上市公司国有股一股独大 ,独立董事的独立性受到严重挑战 ,独立董事获取的报酬与其承担的责任不对称 ,无论是公司内部还是外部都缺乏独立董事开展工作的良好环境 ,目前独立董事无论在人数上还是在能力和精力上都存在问题。为此我们必须从完善法律制度、改革产权制度、创立独立董事协会、设立科学的激励与约束机制、大量培养独立董事人才等方面来不断完善我国上市公司的独立董事制度。

To better independent director system in Chinese listed companies

The laws governing the independent director system are imperfect. Since the state-owned stock takes a lion's share, the independency of the director is endangered. The benefits of the director don't match his liability. The working conditions inside and outside the company are not suitable. There're problems in the number, ability and energy of the director. Therefore, we should develop the law systems and the ownership system, construct scientific stimulus& binding mechanism, and train a large number of qualified independent directors. All these aim to perfect the independent director system in Chinese companies on stock.
