| 摘 要： | 独立董事是英美法系国家公司治理模式的特色制度,其在制衡控制股东的控制权滥用,捍卫董事会独立性,促进公司可持续发展以及保障股东整体利益等方面卓有成效。在中国,由于设有监事会,要使独立董事发挥作用,应界定好两者的关系及独立董事制度自身的相关问题。

| Abstract: | The independent trustee system is the characteristic corporate governing system of British and America Legal System countries.It mainly checks the controlling shareholder's abused use of its domination,safeguards the independence of board of directors,and promotes a stainable development of the company as well as guarantees the shareholder's integral benefits.In China,because of the existence of board of supervisors,in order to exert the function of independent trustee,the relationship between the two is recommended to define,and solutions for the own problems of independent trustee are also recommended. |
