摘    要:在描述了公司治理机制的概念及其发展之后,总结出前人对于商业银行公司治理机制的研究思路是从商业银行较一般公司所体现出的特殊性着手,进而研究商业银行公司治理机制的特征。在此基础上从商业银行的企业本质入手,提炼出了在商业银行公司治理众多利益相关者中最为关键的债权人所具有的"顾客"属性,并围绕这一重要属性,阐述了金融全球化背景下的国有商业银行公司治理机制的创新。

Abstract:After describing the concept of corporate governance mechanisms and their development,the paper sums up the predecessors’ research for corporate governance of commercial banks,then studies the special nature of commercial banks different from the general company.On this basis,the paper extracts the most critical "clients" property that the creditors have from the nature of commercial banks and explains the corporate governance innovation of state-owned commercial banks under the financial globalization background.
