| 摘 要： | 有限责任公司的股东除名是指股东由于自身过错,其行为妨碍或者严重影响公司和其他股东的共同权益,致使股东之间基于信任关系的人合性难以维持,在解散该有限责任公司不利益的情况下,通过章程或者公司法强制剥夺该股东在本公司的股权,使其丧失股东资格的一种行为。由于我国当前缺乏有效的法律规制,很多股东肆意违反公司章程和公司法规定的股东义务,侵害其他股东和公司的权益,尤为突出的是股东瑕疵出资和抽逃出资,而我国公司法并没有除公司自治之外的法定股东除名的条文,因此有必要为股东除名的立法提供理论支撑。

| Abstract: | Shareholder expulsion of the Limited Liability Company(LLC) is the situation that some shareholder’s qualification is deprived of by the articles of association or company law because of his personal faults that break the credit of the shareholders and affect the benefit of the company and other shareholders seriously,while other shareholders don’t want to dissolve the company.Nowadays,without the effective legal regulations,many shareholders don’t observe the articles of association or company law,especially making the defect contribution and capital flight.However,there is no legal term on shareholder expulsion in the company law.It is high time that we provided theoretical support for the legislation. |
