| 摘 要： | 有限合伙制度的最大特色，莫过于合伙企业有限合伙人的有限责任。我国有限合伙制度处于起步阶段，与英、美等国法律相比，仍存在有限合伙人的撤资规定缺位、权利缺失等问题。因此，应该严格限制有限合伙人撤回出资的条件，适当扩大监督权的范围，并对有限合伙人对企业外部承担的有限责任进行必要的限制，以进一步完善我国合伙企业的法律制度。

| Abstract: | The item of partner's limited duties is the unique feature in the limited partnership system.Comparing with the relative laws in Britain and the U.S,there exist some problems as a lack of regulations for the capital withdrawal and rights protection in China's present system.The system would be perfected by ways of restricting the capital withdrawal severely,limiting the partner's duties to the outside of enterprise and expanding the range of supervision. |
