正义视野下的中小股东权益保护

正义是法律的终极价值,也是公司法的终极价值目标。正义价值要求公司法在促进公司效率的提高和大股东利益最大化的同时,妥切保护中小股东权益。而正确处理公平与效率的关系是实现中小股东权益保护的前提。当下,我国公司法应该更加重视公平,不仅要把公平置于信仰层次,而且要更多地把公平和效率同样地置于操作层面。要通过合理的制度安排,完善公司的治理结构,切实维护中小股东权益以实现社会正义。

PROTECTION FOR THE RIGHT OF SMALL OR MEDIUM INVESTORS IN THE JUST PERSPECTIVE

Justice is the final value of law and the last value target of the Company Law.The just value asks the Company Law to well protect the right of small or medium investors while improving the effeciency of the company and probably most enlarging the benefit of investors and well arranging the right of small or medicm investors.However,correctly handling the relation between justice and effeciency is the premise of of protecting the right of small or medium investors.At present the Company Law in China should pay more attention to justice not only in belief but also in performance.We should carry on reasonable rules and regulations,perfect the running structure of companies and really protect the right of small or medium investors so as to realize the social justice.
