上市公司对外担保法律制度研究

在我国对上市公司对外担保制度作进一步法律思考的前提是解决公司有无对外担保的权利能力。文章先 从比较的视角对这一问题进行了探讨,并得出肯定性结论。同时指出由于我国立法的粗疏,又使该规定引发了广泛 的法律争辩,进而成为公司法和担保法上的一个理论难题。笔者在厘清争辩问题的基础上提出了完善上市公司对 外担保法律制度的建议。

A Study of the Legal System of Foreign Guarantee of Chinese Listed Companies

Whether a listed company is qualified for foreign guarantee is a prerequisite for further legal considerations on the foreign guarantee system of the listed companies in China. Initially, this paper makes a probe into this problem from the perspective of comparison and arrives at a definite conclusion. Simultaneously, it is pointed out that due to the imperfection of legislation in China, this formulation gives rise to extensive law arguments and poses a tough theoretical problem for the Corporation Law and the Guarantee Law. On the basis of clarifying the argument , the writer of this paper advances some proposals for perfecting the foreign guarantee system for the listed companies.
