论董事民事责任的限制与免除

建立良好的公司治理结构,不仅应加强董事的责任意识和完善董事责任的追究机制,同时也应设计相应的董事民事责任的限制与免除机制,以适当减轻董事的经营风险,对其所从事经营活动起到一定的保护作用。文中从董事民事责任基础理论的分析入手,主要以美国对董事民事责任的限制与免除制度设计为例,就异议董事的责任免除、公司章程规定的董事责任限制与免除、股东大会和董事会决议免除、董事个人赔偿责任限额以及诉讼费用补偿等方式进行了充分论述,并对我国构建具有中国特色的董事民事责任的限制与免除制度提出了具体的立法建议。同时,对是否引进作为美国董事民事责任限制与免除制度核心的商业判断规则也作了充分的讨论,并提出了自己的见解,这对于促进我国构建董事民事责任的限制与免除制度具有重要意义。

On Limitation of and Exemption from Civil Liability of the Corporation Director

To establish a good governance structure of corporations,we should not only strengthen the directors' liability sense and improve the mechanism of investigation of their liability,but also set up an institution of limitation of and exemption from their civil liability so as to alleviate their management risks.The director should not overtake the damage incurred by commercial risk in management.We should design an institution with Chinese characteristics of exemption from liability of the corporation directors on the basis of studying the advanced legislate experience of other countries.This article begins with an analysis of the basic theories of director's civil liability,then expounds several popular modern methods of exemption from liability of the corporation directors and analyzes which method is appropriate to China.At last this article gives some concrete suggestions on legislating Chinese institution of exemption from civil liability of corporation directors.
