中国外资并购国家安全审查论

为维护国家经济安全，中国在2006年制定、2009年修订的《关于外国投资者并购境内企业的规定》中规定了对外资并购的国家安全审查。由于对国家安全审查实体性规范和程序性规范的缺失，使得这些规定缺乏透明度且影响了其功效的发挥。国务院于2011年发布的《关于建立外国投资者并购境内企业安全审查制度的通知》在一定程度上弥补了上述缺陷。但中国仍应借鉴美国外资审查委员会适用的相关规范，使中国的外资并购国家安全审查不但有章可循且具操作性，这对于捍卫国家经济安全和继续吸引外资以推动中国经济发展、改革均有裨益。

National Security Review for the Takeover of Domestic Enterprises by Foreign Investors in China

＂Provisions on the Takeover of Domestic Enterprises by Foreign Investors＂ was promulgated in 2006 and modified in 2009 so as to protect the national economic security. It provides the regulation for national security review of foreign investment in China. The lack of substantial and procedural articles in these provisions makes them less transparent and effective. ＂The Notice on Establishing National Security Review System to the Takeover of Domestic Enterprises by Foreign Investors＂ issued by State Council in 2011 partly resolved the limitations of previous regulations. It is still worthwhile to borrow the rules and regulation applied by Committee on Foreign Investment in United States in order to make Chinese provisions clear and manageable, and it helps to secure our national safety while continuing to attracl foreign investment, and to promote the development and refornlation of China＇s economy.
