| 摘 要： | 在国际银团贷款业务中，银团成员之间会发生一定的法律关系，其中牵头行和代理行扮演着重要的角色，但它们在履行各自职责中是否负有诚信义务一直是学界颇有争议的问题。因此，从牵头行、代理行与相关参与行的法律关系入手，试图分析其在履行职责中应当负有一定的诚信义务，并提出了为避免利益冲突、保证诚信义务的履行应对其行为进行规制的建议。 |

| Abstract: | In the international syndicated loans, there will be certain legal relations among the members of international syndicates, and the problem of whether or not the leading bank and agent bank should take on the duty of fiduciary is controversial in the academic circles. By analyzing the relationship among the leading banks, the agent bank and so on, this paper attempts to point out that they should carry out certain duty of fiduciary. |
