| 摘 要： | 新修订的《公司法》在公司的设立制度上进行了重大修改,其中较为显著的是关于公司发起人制度的变动,即降低了设立公司的法定人数最低限额,由此产生了两人公司.从理论和实践操作两方面的弊端来看,两人公司适应我国公司法方面困扰.

| Abstract: | The newly enacted Company Law has important changes in the company establishment system.Among those it is more noticeable that the company sponsors system has reduced the statutory quorum in establishing companies,which results in the appearance of two-person companies.This article starts from analyses of the defects in theory and practice operating,to reveal the predicament of two-person company adapting to Company law. |
