| 摘 要： | 独立董事制度发挥有效作用需要若干条件。独立董事制度在我国上市公司建立过程中存在着法律法规不健全、现有的独立董事资质不够、激励约束机制不足、与公司监事会的监督职能发生冲突等问题。为解决这些问题,需要建立并健全相应的法律法规,为独立董事制度的有效实施创造制度环境;建立行业自律体系,使独立董事职业化,建立独立董事市场;明确独立董事与监事会之间职责的区分。

Analysis of problems and policies in regard to independent director system in China |

| Abstract: | The practice of independent director system is based on some conditions.To solve the problems such as inadequate regulations,qualifications and mechanisms,it is necessary to establish laws for the practice of independent director system,make the independent director professional by setting up the corresponding market,thus marking the different responsibilities between the independent director and the board of supervisors. |
