| 摘 要： | 新《公司法》通过立法的形式确立了法人人格否认制度,填补了我国公司法史上人格否认制度的空白。本文围绕新《公司法》关于人格否认制度的规定,从法人人格否认的概述出发,分析了其构成要件和适用的法律后果,以期有利于公司法的实施。

| Abstract: | The new corporation law established the Disregard of corporate personality system through legislation,which fills up the blankness of the Disregard of corporate personality system in the history of the corporation law in china.Concerned with the regulation of the Disregard of corporate personality in new corporation law,from the point of the summary of the Disregard of corporate personality,the article analyzes the constituting conditions and bearing responsibility to be in favor of the implementation of the corporation law. |
