| 摘 要： | 公司社会责任是指公司违反保护公司利益相关者利益和生态环境以及有效利用资源义务时所要承担的法律后果;公司社会责任的正当性源自公司的营利性和社会性本质特征;我国公司法率先规定了公司社会责任意义重大,但还需进一步修改完善。

| Abstract: | Company＇s social liability refers to the legal consequences caused by companies when violating the obligations to protect the interests of stakeholders,ecological environment and using resources effectively.The legitimacy of company＇s social liability originates from company＇s essential characteristics——profitability and sociality.That China＇s company law provides company＇s social liability for the first time is of important significance,but this law still needs to be further revises and improved. |
