| 摘 要： | 公司治理结构模式的不同模式为制度比较与制度借鉴提供了可能，但同时也为制度模仿的有效性增加了难度。本文在比较美国，日本，德国为代表团的公司治理模式的基础上分析了独立董事制度的制度机理，独立董事的本质及其权力渊源，以及由独立董事本质所决定的独立董事制度的内在缺陷。 |

| Abstract: | Different corporate governance modes males it possible to compare them and borrow from one to another.But it is also difficult to improve the effectiveness of the system imitation.In this paper,the system mechanism,the nature and power source of independent director as well as its internal limitations determined by its nature based on the comparison of corporate governance modes represented by US,Japan and Germany. |
