| 摘 要： | 管理层收购是对传统公司理念的一种反叛。目前我国证券市场的法律制度尚不健全,在管理层收购主体设置、融资以及实际操作环节中均存在障碍,因此应制定专门的管理条例,修改相关法律,完善对管理层的制衡机制,保障其健康运行。

| Abstract: | Management Buy Out(abbreviated as MBO) is contrary to the traditional concept of corporation.The legal system of the securities market of our country is still imperfect at present,and there are many legal obstacles such as subject setting up,financing and practical operation in the process of MBO.In order to keep MBO circulating well,we should institute professional regulations,modify relevant laws and perfect restriction mechanism of management. |
