| 摘 要： | "一股独大"是普遍存在于股份制企业中的公司治理问题.针对"一股独大"产生的弊端,引入代理人制,推行累计投票制和进行网上投票和电话投票、召开网络会议等使中小股东有效行使其股东权利,是解决"一股独大"弊端的有效方法.

| Abstract: | Insider controlling is a problem for corporate governance which is widespread in share comparties. This paper studies irregularities of insider controlling and suggests some measures to deal with the problem. Such measures as agency, accumulative voting, intemet and telephone voting, network meetings, etc. can encourage minority shareholders to implement their fights and solve the problem of insider controlling to some degree. |
