公司社会责任的理性探讨

公司法传统理念认为,追求股东利益最大化是公司存在的原因。在社会化大生产的今天,公司的社会责任理论对此作了必要修正,指出公司在不损害第三人和社会公共利益而为营利目标奋斗的同时也应承担起相应的社会责任,主要表现为道德义务。但与公司营利性本质相比,公司社会责任处于次优地位。在此基础上对公司社会责任进行理性分析,对于完善我国公司法律制度以及促进经济协调稳定发展都具有重大意义。

A Rational Discussion of the Company's Social Responsibility

The traditional company law holds that the maximum interest of the stockholder is what the company only pursues. However, under the condition of social mass production today, the theory on the company's social responsibility has made some corrections. It holds that while the company is struggling for its own interests, without damaging others' interests and public interests, it has the responsibility for the whole society, mainly moral responsibility. On this basis, a rational analysis of the company's social responsibility will contribute to the perfection of our company law system and the development of national economy.
