| 摘 要： | 为论证公司社会责任的正当性和构建其在法律上的范围,分析了公司社会责任应然与实然之间的矛盾、公司社会责任法律规范的现实推动力、公司社会责任的法学理论和公司社会责任在法律上范围。分析认为,法律应当对公司社会责任进行规范;反对将股东利润最大化作为公司唯一目标,主张确立股东利润最大化和承担社会责任二元目的模式,绝不是放弃股东利润最大化这一目标;公司社会责任与公司生存和发展要同时兼顾,不能偏废。
