| 摘 要： | 源于英美法上的公司控制权概念,能否融入大陆法系的相关概念体系,这是具有大陆法系属性的我国公司法理论无法回避的一个具有重要理论价值的问题。如果对公司的法人属性进行灵活性的把握,坚持公司法人拟制说理论或者对公司法人实在说理论的适用作限缩性的解释,公司控制权概念就能够与既有的法律概念相兼容。
